- What is equity crowdfunding?
Equity crowdfunding is the process where people (i.e. the 'crowd') invest in an early-stage private company (a company that is not listed on a stock market) in exchange for shares or Beneficial Interest Rights (BIR) in that company. See “Why do we purchase Beneficial Interest Rights (BIRs), not shares” question below. A shareholder has partial ownership of a company and stands to profit on an Liquidity Event (i.e. IPO, merger or sale) should the company continue to perform well and increase in value. The opposite is also true, so if the company fails investors can lose some, or all, of their investment.
- Why do we purchase Beneficial Interest Rights (BIR), not shares?
The BIR has all of the same benefits, and also risks of share ownership. It is a very common structure used by companies raising money on Crowdcube. Cowboy chose this structure because we would not have been able to manage the relationships with thousands of direct shareholders. This way, Crowdcube manages our notices and approvals with the BIR holders, ensuring they have access to all of their rights and benefits. All investments on Crowdcube via the Crowdcube nominee, are operating under a BIR structure like this one. The only other alternative is direct shareholding without the nominee.
In this structure, Crowdcube holds and is the legal owner of shares on behalf of the beneficial owners (BIR), the underlying investors. While the 'Crowdcube nominee' holds the legal title to the shares, the beneficiary (i.e. the investor) has the right to any benefits associated with the investment, such as tax relief and any future returns. This structure is known as a 'bare trust'.
- Why are you crowdfunding?
We've had an incredible 2021, and recently closed an $80m Series C financing round. As a result, we've had tremendous appetite from our community to be a part of the journey and so we thought it was the perfect time to do an equity crowdfunding round alongside it.
- If I pre-register, am I committed to invest?
Not at all. Pre-registering means you're part of the exclusive community who will be able to invest first to secure your investment. This means you won't miss out if we hit our maximum target and close the round.

- Who can invest?
Anyone over the age of 18 from anywhere in the world. However, due to local laws and regulations, retail investors located in the USA, Canada and Japan will not be able to invest in this crowdfunding.

We've been backed by world class investors such as Index Ventures, Tiger Global, Exor, HCVC, Future Positive Capital, Isomer and Siam Capital.
- How much can I invest?
You can invest with as little as €50.29.
- What do I get in return for investing?
You'll get Beneficial Interest Rights in return for your investment. These shares represent a % of Cowboy. As the company continues to grow the share price will go up in value, however the opposite is also true.
- Is my investment EIS eligible?
No, unfortunately this investment is not EIS eligible, as we are a Belgian company. We do sell in the United Kingdom, but we do not yet have a UK permanent establishment, which would be required for EIS.
- What is Crowdcube?
